Please read these Terms carefully. They govern your use of the Verdant Privé mobile application, our websites, and the lifestyle-management, concierge, membership, event and related services that we make available.

1. ABOUT THESE TERMS

These Terms of Service (the “Terms”) are an agreement between you and The Verdant Syndicates Enterprises International Limited (“Verdant”, “we”, “us” or “our”), a company registered in Hong Kong. Our registered business address is:

By downloading, accessing or using the Verdant Privé mobile application (the “App”), visiting https://theverdantsyndicates.org/ (the “Website”), or using any service provided by us (together, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services for a company or another organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.

2. ELIGIBILITY AND ACCOUNTS

You must be legally capable of entering into a binding contract in your jurisdiction. If the Services are made available to you through a membership or corporate account, you must provide accurate information and keep it up to date.

You are responsible for protecting your login credentials and for activity carried out through your account. Tell us promptly if you suspect unauthorised access. We may require identity or membership verification before providing certain Services.

3. OUR SERVICES

Verdant provides lifestyle management, transport and travel concierge, restaurant and club access, event organisation, exclusive-access coordination, and related personal and corporate membership services. Availability, scope and fees may vary by membership, location, supplier and request.

We act as a coordinator or intermediary for many third-party venues, suppliers, operators and service providers. A booking or request is not confirmed until we or the relevant provider expressly confirm it. Third-party terms, availability, deposits, cancellation rules, age requirements and other conditions may apply.

We may change, suspend or discontinue any part of the Services where reasonably necessary, including for maintenance, safety, legal or operational reasons.

4. REQUESTS, BOOKINGS AND PAYMENTS

You authorise us to use the information you provide to arrange requested Services. You must provide complete and accurate details, including dates, passenger or guest information, accessibility requirements and payment details where relevant.

Prices, taxes, deposits, service charges, cancellation charges and supplier fees will be shown or communicated where practicable. You agree to pay all amounts due by the stated deadline.

Except for dining requests and restaurant reservations, which may be processed before payment, all requests, bookings, reservations, purchases and arrangements can only be executed after the required payment has been received and cleared, unless otherwise agreed by us in writing.

Dining requests and restaurant reservations remain subject to availability, venue confirmation, applicable deposits, cancellation rules and any payment required by the venue or communicated by us. A request is not confirmed merely because it has been submitted.

Unless expressly stated otherwise, third-party purchases and bookings are subject to the relevant supplier’s terms and are not refundable by us beyond what that supplier makes available.

Where a payment provider processes a payment, its terms and privacy notice also apply. We do not promise that any particular venue, table, ticket, vehicle, accommodation, invitation or other requested outcome will be available.

5. MEMBERSHIP TERM, RENEWAL AND CANCELLATION

Annual Term

Unless a different term is expressly stated in writing, a membership is valid for one year beginning on the date the applicable membership payment is received and cleared.

Auto-Renewal Authorisation

By paying for a membership and providing or authorising a saved payment card, you expressly authorise Verdant or its payment provider to charge the saved card for a further one-year membership term automatically at the same rate, subject to any price-change notice described below and applicable law.

This authorisation continues for successive annual renewals until the membership is cancelled or the authorisation is otherwise withdrawn in accordance with these Terms.

Referral Discounts

Any referral discount, introductory price or promotional membership rate applies to the first membership year only.

Renewals are charged at the then-applicable full membership rate, subject to any price-change notice.

Failed Renewals and Grace Period

If a renewal payment fails, Verdant may retry the payment during a seven-day grace period.

If payment remains unsuccessful after that period, the membership will lapse and membership access and benefits may be paused until all required amounts have been paid and the membership is reactivated or renewed.

Cancellation

You may cancel your membership at any time by contacting our membership support email:

Cancellation stops future renewal charges, but your membership remains active until the end of the paid membership period unless Verdant agrees otherwise in writing.

Non-Refundable Fees

Membership fees and other amounts already paid are non-refundable, except where a refund is required by applicable law or expressly agreed by Verdant in writing.

Price Changes

If the renewal rate will change, Verdant will notify members of the new rate before the renewal charge is made.

Continued membership without cancellation before the renewal date constitutes authorisation to renew at the notified rate, subject to applicable law.

6. ACCEPTABLE USE

You must not use the Services to:

- Break any law, regulation, sanction, venue rule or contractual restriction.

- Impersonate another person or provide misleading information.

- Interfere with, probe, reverse engineer or compromise the App, Website or their security.

- Upload malware or content that is unlawful, threatening, defamatory, discriminatory or infringing.

- Resell, scrape, copy or commercially exploit the Services without our written permission.

- Use a booking, invitation, membership benefit or access credential in a way that is fraudulent or unauthorised.

7. APP LICENCE AND INTELLECTUAL PROPERTY

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the App on a device that you own or control for your own use.

The App, Website, branding, text, design, software and other materials are owned by or licensed to Verdant and are protected by applicable intellectual-property laws.

You must not copy, modify, distribute, sell, lease, sublicense or create derivative works from the App or our materials, except where applicable law expressly permits it.

Any feedback you provide may be used by us without restriction or payment, provided we do not identify you publicly without permission.

8. THIRD-PARTY SERVICES AND LINKS

The Services may contain links to or integrate with third-party websites, payment processors, mapping tools, venues, travel operators, event organisers and other providers.

We do not control and are not responsible for their content, availability, security, acts or omissions. Your dealings with them are governed by their terms and privacy notices.

9. DISCLAIMERS

To the maximum extent permitted by law, the Services are provided on an “as available” and “as is” basis.

We do not guarantee uninterrupted availability, error-free operation, a particular result, or that information supplied by a third party will always be accurate or current.

We are not the provider of a third-party venue, transport, travel, accommodation, event or other supplier service unless we expressly say otherwise.

Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.

10. LIABILITY

To the maximum extent permitted by law, Verdant will not be liable for indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill, data or opportunity, arising from or related to the Services.

Subject to the mandatory rights described above, our total liability arising from the Services will not exceed the amount you paid to us for the specific Service giving rise to the claim during the twelve months before the event giving rise to liability.

This limitation does not apply to liability that cannot lawfully be limited, including liability for fraud or death or personal injury caused by negligence.

11. INDEMNITY

To the extent permitted by law, you agree to compensate Verdant and its officers, employees and contractors for reasonable losses, claims, costs and expenses arising from your breach of these Terms, misuse of the Services, violation of law or infringement of another person’s rights.

12. SUSPENSION AND TERMINATION

We may suspend or terminate access to the Services if you breach these Terms, fail to pay, create a risk to us or others, or where required for legal, safety or operational reasons.

You may stop using the App at any time.

Account closure or membership cancellation remains subject to outstanding bookings, payments, confirmed commitments, supplier terms and applicable membership conditions.

Provisions that by their nature should survive termination will continue to apply.

13. PRIVACY

Our Privacy Policy explains how we collect, use, disclose and protect personal data in connection with the Services.

By using the Services, you acknowledge that you have read that policy.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will post the updated version and change the “Last updated” date.

If a change is material, we will provide reasonable notice where required by law.

Your continued use of the Services after the effective date of an update means that you accept the updated Terms.

15. GENERAL

If a provision is held invalid or unenforceable, it will be adjusted to the minimum extent necessary and the remaining provisions will continue.

Our failure to enforce a provision is not a waiver.

You may not assign your rights or obligations under these Terms without our written consent. We may assign them as part of a restructuring, merger or transfer of the relevant business.

16. GOVERNING LAW AND CONTACT

These Terms are governed by the laws of the Hong Kong Special Administrative Region.

Subject to any mandatory rights you may have, the courts of Hong Kong SAR will have exclusive jurisdiction over disputes arising from or related to these Terms.
